Overview
 

Performance Ag Group Calmar Ltd. (“Calmar”), Har-De Agri Services Ltd. (“Har-De”) and 1235962 Alberta Ltd. (“123”) (collectively “Performance AG Group” or the “Companies”) were adjudged bankrupt by virtue of  Bankruptcy Orders granted by the Court of Queen’s Bench of Alberta on August 1, 2019.  The Bowra Group Inc. was appointed Licensed Insolvency Trustee.

                

Performance Ag Group carried on business as a supplier of crop input products such as herbicides, feed, seed and related products. The Companies had operations in Calmar, AB (which is located on lands owned by Har-De) and Evansburg, AB (leased premises). All business operations from the Calmar and Evansburg locations ceased on or about the end of April 2019. 123 also owns two parcels of land located in Entwistle, AB.

The Bowra Group Inc. was appointed Receiver (the “Receiver”) of Calmar, Har-De and 123 on October 16, 2019 pursuant to a Court Order of the Court of Queen’s Bench of Alberta.

The Bowra Group Inc., in its capacity as the Receiver of Performance Ag Group, is seeking offers to purchase the assets of the Companies consisting of:

  • Fertilizer storage and mixing systems; including fertilizer bins, hoppers, elevators, mixing booth, blend sheds and other components;

  • Grain bins;

  • Forklifts;

  • Fertilizer spreaders;

  • Seacans;

  • Trailers;

  • Corporate vehicles;

  • Augers;

  • Miscellaneous warehouse equipment; and,

  • Office furniture and equipment.

 

 

The Bowra Group Inc., in its capacity as the Receiver of Performance Ag Group, is seeking offers to purchase the lands of the Companies consisting of:

  • 4.49 acres of land in Entwistle, AB;

  • 1.01 acres of land with office/shop building in Entwistle, AB; and,

  • 3.66 acres of land with buildings in Calmar, AB.

 

The deadline to submit offers is 4:00 pm MT Friday, January 31, 2020.

The Receiver, in accordance with its powers under and pursuant to the Receivership Order, is applying to the Court for an Order approving an offer to purchase the 2 parcels of lands located in Entwistle, Alberta, and vesting title in the lands in the proposed purchaser. The Receiver’s application in respect of the Entwistle lands is scheduled to be heard at the Edmonton Law Courts at 11:00 a.m. on February 4, 2020. All application documents, including, the Receiver’s First Report to Court dated January 22, 2020, are posted below.

On February 4th, 2020 The Court of Queen’s Bench of Alberta granted an Order vesting title and approving the sale of the Entwistle lands to MLS Property Group Ltd.

The Receiver in accordance with its powers under and pursuant to the Receivership Orders, is applying to the Court for an Order approving the sale of the Companies’ remaining assets to be sold at auction by Ritchie Bros. and vesting title to the end purchasers upon completion of the auction free and clear of all encumbrances. The Receiver’s application is scheduled to be heard at the Edmonton Law Courts at 11:00 a.m. MST on May 5, 2020. Please be advised that due to rising COVID-19 concerns the application will be proceeding by way of teleconference. There is no necessity for you to attend however, should you wish to appear please contact Kristin Gray (kgray@bowragroup.com) to make arrangements. All application documents, including, the Receiver’s Second Report to Court dated April 24, 2020, are posted below.

On May 5, 2020 The Court of Queen’s Bench of Alberta granted an Order vesting title and approving the sale of two pieces of equipment to Wayne Tourneur and further approving the sale of the Companies’ remaining assets to be sold at auction by Ritchie Bros., vesting title to the end purchasers upon completion of the auction free and clear of all encumbrances.  Further auction details and marketing materials will be posted as they become available.
